Terms of Service
Effective October 19, 2026
These Terms of Service ("Terms") govern your use of FirstPass (the "Service"), a video first-pass editing application and companion website, operated by Fuse Works LLC, a New York limited liability company ("Fuse Works," "we," "us," or "our"). By creating an account, downloading the app, or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
FirstPass is a desktop application that processes your video footage locally on your own computer — trimming silence, removing shaky or unusable clips, and assembling a first-pass edit — and outputs an editable timeline file (FCP7 XML or FCPXML) for use in your own video editing software. FirstPass does not edit or store your video files; your footage never leaves your computer. The website provides account management, an optional leaderboard/achievements system based on aggregate usage stats, a community forum, bug reporting, and subscription billing.
2. Accounts
You must provide accurate information when creating an account and are responsible for keeping your login credentials secure. You're responsible for all activity under your account. You must be at least 13 years old to use the Service.
3. Subscriptions & Billing
- Free plan: up to 45 minutes of source footage processed per month, at no cost. This limit may change; we'll do our best to give notice of material changes.
- Pro plan: $9.99/month, billed automatically until canceled, unlocks unlimited footage processing.
- Payments are processed by Stripe. We never see or store your full card number.
- Subscriptions renew automatically each billing period until you cancel. You can cancel anytime through your account's billing portal; cancellation takes effect at the end of your current billing period, and you keep Pro access until then.
- We don't provide refunds for partial billing periods or unused time, except where required by law. If something's genuinely wrong (a billing error, a bug that broke the app for you), email support@firstpasseditor.com and we'll sort it out case by case.
4. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or tamper with the app or its license/entitlement checks
- Use the Service to process footage you don't have the rights to
- Abuse, scrape, or overload the backend/API beyond normal use
- Impersonate another person or misuse the leaderboard, friends, forum, or bug-report systems (including spam, vote manipulation, or false bug reports or forum reports)
- Resell or redistribute the Service without our written permission
We may suspend or terminate accounts that violate this section.
5. Your Content, Our Software
You own your footage and everything you create with it — we don't claim any rights to it, and as noted above, we never receive it in the first place. FirstPass (the software, website, branding, and all related IP) belongs to Fuse Works LLC. Using the Service gives you a limited, personal, non-transferable license to use the app for your own video editing — nothing more.
Anything you submit to us directly (bug reports, your public username/profile info) can be used by us to operate and improve the Service, and your username/country/stats may be shown publicly on the leaderboard and your profile page if you choose to make one.
6. Community Forum & Posts
- Public by default. The forum at /forum can be read by anyone, including people without an account. Posts, replies, images, votes on suggestions, your username, badge, and forum activity on your profile are public. Don't post anything you want to keep private.
- You own what you post. You keep ownership of your posts, replies, and images. By posting, you give Fuse Works LLC a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and format that content as needed to run the forum and the Service (for example, showing it on the site, in search results on the site, and in notifications). This license ends when the content is deleted, except for copies kept briefly in backups or where we must keep them by law.
- You're responsible for it. Only post content you have the right to share. Don't post anything illegal, infringing, sexually explicit, hateful, harassing, threatening, or personal information about other people, and follow the community guidelines.
- Moderation. We and the moderators we appoint may review, hold for review, edit formatting of, hide, lock, or remove any post, reply, or image, and may mute or suspend accounts, at our discretion — including content that breaks these Terms or the guidelines. We keep a log of moderation actions. We don't pre-screen everything and aren't responsible for what other users post.
- Reporting. Use the report button on any post or reply to flag it. For copyright complaints, email support@firstpasseditor.com with the content's link, the work you own, and your contact details, and we'll remove infringing content.
- Ideas and suggestions. If you suggest a feature or idea (in the forum, a bug report, or by email), we may use it freely, without owing you anything, and we're not obligated to build it.
7. Third-Party Software
FirstPass includes open-source components, such as FFmpeg (licensed under the GNU LGPL version 3), Python, OpenCV, and faster-whisper. Each is provided under its own license, which applies to that component instead of these Terms where they conflict. The full list, license texts, and where to get FFmpeg's source code are in the THIRD_PARTY_NOTICES.txt file installed with the app and on our licenses page.
8. No Warranty
The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. We don't guarantee the app will catch every retake, cut, or silence perfectly — it's an automated first pass, and you should always review the output before finalizing an edit. We don't guarantee uninterrupted or error-free operation of the website or backend.
Because FirstPass writes an edit decision list rather than modifying your original files, your source footage itself is never altered — but we still recommend keeping your own backups, as with any software.
9. Limitation of Liability
To the maximum extent permitted by law, Fuse Works LLC will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, footage, profits, or business, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose (or $50 if you're on the free plan).
Some jurisdictions don't allow these limitations, so parts of this section may not apply to you.
10. Indemnification
You agree to indemnify and hold Fuse Works LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms.
11. Termination
You can stop using the Service anytime, and delete your account by emailing support. Deleting your account also deletes your forum posts (with their images and replies), your replies on other posts, your votes, and your bug reports. We may suspend or terminate your access if you violate these Terms. Sections that by their nature should survive termination (ownership, licenses already granted, warranty disclaimers, liability limits) will survive.
12. Changes
We may update the Service or these Terms as the product evolves. We'll post the updated Terms here with a new effective date; continuing to use the Service after a change means you accept the update.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in New York, and you consent to that venue.
